RestorationAI Terms of Service These Terms of Service ("Terms") govern access to and use of the RestorationAI platform, websites, software, estimating services, calculator services, reports, subscriptions, credits, and related services provided by Restoration Ai LLC ("RestorationAI," "Company," "we," "us," or "our"). 1. Acceptance of Terms By creating an account, accepting these Terms electronically, purchasing a product or service, or accessing or using RestorationAI, you agree to be bound by these Terms, our Privacy Policy, and our Legal & Compliance Notice. If you use RestorationAI on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf. In that case, "you" and "your" include both you and the organization. You must be at least eighteen years old and legally capable of entering into a binding agreement. If you do not agree to these Terms, you may not access or use RestorationAI. 2. Description of Services RestorationAI provides software and professional support services related to roofing and property-insurance claim documentation, measurements, estimates, supplements, calculators, reports, communications, and related workflows. Available products and services may include: - Basic Roof-Only Xactimate Estimates; - Full estimating or reporting services; - Roofing waste, ventilation, ice-and-water, and other calculators; - Calculator reports and downloadable documents; - Claim and job-management tools; - Supplement and scope-comparison tools; - Document-management and communication tools; and - Other products or services described in the platform, on an order form, or at checkout. Specific features, deliverables, limitations, turnaround expectations, and prices depend on the product or service selected. RestorationAI is not a public adjuster, attorney, insurance carrier, insurance representative, engineer, architect, building official, or coverage expert. RestorationAI does not interpret insurance coverage, negotiate claims on behalf of policyholders, provide legal advice, or guarantee that a carrier will approve or pay any estimate, line item, report, supplement, or requested amount. 3. Accounts and Organizations You are responsible for: - Providing accurate and current account information; - Protecting your login credentials; - Restricting unauthorized access to your account; - All activity performed through your account; - Maintaining accurate organization and team-member access; and - Promptly notifying RestorationAI of suspected unauthorized use. You may not share credentials with unauthorized persons or use another person's account. An organization is responsible for the conduct of its owners, administrators, employees, contractors, invitees, and team members using its account. RestorationAI may rely on instructions and submissions made through your authenticated account. 4. Customer Information and Submissions You are solely responsible for the completeness and accuracy of all information, measurements, photographs, reports, documents, selections, quantities, descriptions, instructions, and other materials submitted through RestorationAI. You represent that: - You have the legal authority to submit the information and documents; - Your submission does not violate another person's privacy, contractual, intellectual-property, or other rights; - You have obtained any authorization required to submit information relating to a homeowner, insured, customer, property, or insurance claim; and - The information provided is accurate to the best of your knowledge. RestorationAI may rely on submitted information without independently inspecting the property, verifying field conditions, confirming measurements, researching omitted items, or determining whether the submission reflects the complete scope of work. You retain ownership of your submitted materials. You grant RestorationAI a limited right to host, process, reproduce, transmit, and use those materials as reasonably necessary to provide, maintain, secure, and improve the requested services, subject to our Privacy Policy and any applicable consent requirements. 5. Basic Roof-Only Xactimate Estimate Service This section applies when you purchase or use a Basic Roof-Only Xactimate Estimate or an associated Xactimate Estimate Credit. 5.1 Scope of Standard Service Unless RestorationAI agrees otherwise in writing, one standard Basic Roof-Only Xactimate Estimate includes: - One standard residential roof; - One structure; - A roof-only estimate prepared in Xactimate; - The applicable Xactimate price list selected based on the property location and information submitted; - The roof components, quantities, and other scope information selected or entered in the estimate request; and - Delivery of the completed estimate in PDF format. The standard Basic Roof-Only service is intended for residential asphalt-shingle roofing projects. Commercial, multifamily, tile, metal, specialty, unusually complex, or otherwise nonstandard projects may be declined, require additional charges, or require a separately priced service. 5.2 Submitted Information Controls the Estimate Your estimate will be prepared exclusively from the information submitted through the estimate request and the applicable information already entered in the RestorationAI job record. Items, quantities, trades, structures, conditions, or requested work not included in your submission will not be included in the completed estimate. RestorationAI is not responsible for omissions, inaccuracies, or incomplete scope resulting from inaccurate, incomplete, inconsistent, or omitted customer information. RestorationAI is not required to independently identify missing line items, infer unreported conditions, inspect the property, verify measurements, or search submitted photographs, carrier estimates, reports, or other documents for scope items that were not entered in the estimate request. 5.3 Basic Service Exclusions Unless RestorationAI expressly agrees otherwise in writing, the Basic Roof-Only service does not include: - An ESX file; - Preparation, organization, labeling, or inclusion of job or damage photographs; - A photograph report or other supporting-document package; - Independent damage documentation or causation analysis; - Building-code research or a building-code report; - Manufacturer installation research or manufacturer documentation; - Comparison against a carrier or adjuster estimate; - Scope reconciliation; - Supplement narratives, justifications, or supporting arguments; - Coverage opinions or arguments; - Communications or negotiations with an insurance carrier; - Independent verification of measurements or field conditions; - Identification of work omitted from the customer's submission; - Interior, siding, gutter, fence, or other non-roof trades unless expressly included in the purchased service; or - Commercial, multifamily, or unusually complex roofing work unless separately accepted and priced. Providing photographs, carrier estimates, measurement reports, or other documents does not automatically expand the Basic Roof-Only service or require RestorationAI to review those materials for omitted scope. 5.4 Xactimate Pricing and Estimate Limitations RestorationAI will use the Xactimate price list reasonably determined to apply based on the submitted property location and available pricing information. Xactimate pricing reflects third-party estimating data and may not equal a contractor's actual labor, material, overhead, tax, or project costs. RestorationAI does not control Xactimate's pricing data and does not guarantee that an insurer, adjuster, contractor, property owner, or other party will accept the estimate or any particular line item or price. The customer is responsible for reviewing the completed estimate before relying on it, submitting it to another party, entering into a contract, or beginning work. 6. Estimate Credits and Packages 6.1 Separate Credit Types Xactimate Estimate Credits and Calculator Report Credits are separate products. An Xactimate Estimate Credit may be used only for the applicable estimating service. A Calculator Report Credit may be used only for an eligible calculator report. Neither credit type may be exchanged for or substituted for the other. 6.2 Credit Validity Unless otherwise stated at purchase, Xactimate Estimate Credits: - Are valid for twelve months from the purchase date; - Expire automatically at the end of that period; - Have no cash value; - Are nontransferable outside the purchasing customer or organization; and - Are nonrefundable except where required by law or expressly approved by RestorationAI. Expired or unused credits will not be refunded, replaced, or converted into another product or service. 6.3 Credit Consumption One Xactimate Estimate Credit covers one eligible standard estimate for one structure. A credit is consumed when RestorationAI begins estimating work. Estimating work may be considered started when the request is accepted for production, assigned to an estimator, or moved into an active estimating status. If RestorationAI identifies that a submission is incomplete before work begins, the request may be returned for completion without consuming a credit. If you cancel the request or materially change the requested service after work begins, the consumed credit will not ordinarily be restored. If RestorationAI declines an ineligible request before work begins, the credit will be restored or the applicable purchase will be addressed in accordance with the original payment method and applicable law. 6.4 Additional Structures One estimate credit covers one structure. Additional structures on the same property may be accepted for an additional fee disclosed before the additional work begins. RestorationAI may require another full estimate credit when an additional structure has a materially different roof system, measurements, scope, complexity, or set of estimating requirements. 6.5 No Automatic Renewal Xactimate Estimate Credit packages are one-time purchases and do not automatically renew unless a future recurring option is clearly presented and separately authorized by the customer. This provision does not prevent calculator subscriptions or other recurring plans from renewing when the customer has expressly selected and authorized a recurring subscription. 7. Corrections, Revisions, and Scope Additions RestorationAI will correct verified data-entry errors made by RestorationAI at no additional charge when reported within seven calendar days after delivery. A free correction does not include: - Information omitted from the original submission; - Incorrect measurements, quantities, selections, or instructions provided by the customer; - A change in the requested scope; - Additional structures, trades, or work; - Newly discovered conditions; - Changes requested by a carrier, adjuster, property owner, contractor, or other third party; - A different price list requested after delivery; or - A customer preference that was not included in the original request. Customer-requested revisions or scope additions may require payment of the revision fee disclosed at the time of the request. Substantial changes may require another estimate credit or a separately priced service. RestorationAI will determine, reasonably and in good faith, whether a request qualifies as correction of a RestorationAI error, a paid revision, or a new estimate. 8. Turnaround Times The target turnaround for a complete standard Basic Roof-Only estimate is two business days after RestorationAI receives all required information and accepts the request for production. Turnaround times are estimates, not guarantees. Delivery may be affected by submission completeness, project complexity, customer response time, order volume, holidays, service outages, third-party systems, or circumstances outside RestorationAI's reasonable control. Returning a submission for missing or conflicting information pauses the turnaround period. A new turnaround period may begin when the requested information is received and the submission is accepted as complete. Rush service is not included unless it is expressly offered, purchased, and confirmed in writing. 9. Fees, Billing, and Payment Prices are those displayed in the platform, on the applicable pricing page, at checkout, or in a separate written order. Prepaid credit packages must be paid in full before credits are issued. For services invoiced after completion, payment is due within two business days after receipt of the completed service and invoice unless a separate written agreement provides otherwise. RestorationAI may withhold deliverables that are expressly included in a separately purchased service until payment is received in full. The Basic Roof-Only service does not include an ESX file, regardless of payment status. You are responsible for applicable taxes and for maintaining accurate billing information. RestorationAI may use third-party payment processors and does not directly control their systems. Except where required by law or expressly stated in these Terms, an order, or a written refund policy, fees and credit purchases are nonrefundable. 10. Subscriptions Recurring subscriptions, including applicable calculator plans, renew according to the billing interval and price disclosed when purchased. You may cancel a recurring subscription through the available account or billing controls. Unless otherwise required by law, cancellation takes effect at the end of the current paid billing period, and partial billing periods are not refunded. Cancellation of a subscription does not extend the expiration date of separately purchased credits or convert one type of credit into another. 11. Acceptable Use You may not use RestorationAI to: - Violate any law or regulation; - Misrepresent your identity, authority, qualifications, or relationship to a property owner or insured; - Perform public-adjusting, legal, engineering, or other regulated services without required authorization or licensing; - Send unauthorized communications on behalf of a homeowner, insured, customer, or organization; - Submit information you do not have authority to possess or use; - Upload malicious code or attempt to compromise the platform; - Bypass access controls, usage limits, payment requirements, or credit-consumption rules; - Scrape, reverse engineer, copy, or misuse the platform or its content; - Interfere with another user's access; - Use outputs in a false, misleading, fraudulent, or deceptive manner; or - Violate the intellectual-property, privacy, contractual, or other rights of another person. RestorationAI may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect the platform, its users, or third parties. 12. Customer Review and Professional Judgment RestorationAI's estimates, calculations, reports, suggested language, and other outputs are tools intended to assist qualified users. You remain responsible for reviewing all outputs and determining whether they are accurate, appropriate, legally permissible, and suitable for the specific property, project, jurisdiction, contract, or claim. RestorationAI outputs do not replace: - A physical inspection; - Professional judgment; - Licensed legal advice; - Public-adjusting services; - Engineering or architectural analysis; - An official building-code determination; - Manufacturer instructions; - Contract-specific review; or - Carrier coverage decisions. You assume responsibility for decisions, communications, contracts, submissions, construction work, and claim-related actions taken using RestorationAI outputs. 13. Intellectual Property RestorationAI and its licensors own the platform, software, design, workflows, templates, calculators, documentation, trademarks, and other proprietary materials, excluding customer-submitted information. Subject to these Terms and payment of applicable fees, RestorationAI grants you a limited, nonexclusive, nontransferable, revocable right to use the platform and purchased deliverables for your internal business and authorized claim-related purposes. You may provide completed estimates and reports to customers, property owners, insurers, adjusters, attorneys, and other parties involved in the applicable project or claim. You may not resell, reproduce, license, or commercially distribute RestorationAI's platform, templates, calculators, or underlying systems as a competing product or service. 14. Confidentiality Each party will protect the other party's confidential information using reasonable care and will use confidential information only as necessary to perform or receive the services. Confidential information does not include information that: - Becomes public through no breach of these Terms; - Was already lawfully known without a confidentiality obligation; - Is received lawfully from another source without restriction; or - Is independently developed without using the other party's confidential information. RestorationAI may disclose information when required by law, legal process, or a valid governmental request, or when reasonably necessary to prevent fraud, misuse, or harm. 15. Third-Party Services RestorationAI may rely on or integrate with third-party products and services, including authentication providers, payment processors, cloud-hosting providers, artificial-intelligence providers, document-storage services, measurement providers, communication services, and estimating platforms such as Xactimate. Third-party services are governed by their own terms and may change, become unavailable, or produce errors outside RestorationAI's control. RestorationAI is not responsible for the independent acts, omissions, availability, pricing, or policies of third-party providers. 16. Service Availability and Changes RestorationAI may add, remove, modify, suspend, or discontinue features or services. We may perform maintenance or take steps reasonably necessary to maintain security, comply with law, or protect users and systems. We do not guarantee uninterrupted or error-free operation. We will make commercially reasonable efforts to provide reliable service but are not responsible for delays or failures caused by events outside our reasonable control. 17. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTORATIONAI AND ALL SERVICES, ESTIMATES, REPORTS, CALCULATIONS, CONTENT, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." RESTORATIONAI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND RESULTS. RESTORATIONAI DOES NOT WARRANT THAT: - AN ESTIMATE OR REPORT WILL BE ACCEPTED OR PAID BY AN INSURER; - AN OUTPUT WILL INCLUDE ITEMS THE CUSTOMER DID NOT SUBMIT; - XACTIMATE PRICING WILL MATCH ACTUAL CONTRACTOR COSTS; - A CALCULATION OR ESTIMATE WILL SATISFY EVERY BUILDING CODE, MANUFACTURER REQUIREMENT, CONTRACT, OR CARRIER GUIDELINE; - USE OF THE SERVICES WILL PRODUCE A PARTICULAR CLAIM, BUSINESS, OR FINANCIAL RESULT; OR - THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. 18. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTORATIONAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, CLAIM DELAYS, DENIED CLAIMS, COVERAGE DISPUTES, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESTORATIONAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF: - THE AMOUNT YOU PAID TO RESTORATIONAI FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR - THE TOTAL FEES YOU PAID TO RESTORATIONAI DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited. 19. Indemnification To the extent permitted by law, you will defend, indemnify, and hold harmless RestorationAI and its owners, officers, employees, contractors, and agents from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from: - Your misuse of the platform or services; - Your violation of these Terms; - Inaccurate, incomplete, unauthorized, or unlawful customer submissions; - Your communications, contracts, representations, or claim-related activities; - Your violation of applicable public-adjuster, insurance, privacy, intellectual-property, or other laws; or - The acts or omissions of users accessing the platform through your account or organization. RestorationAI will provide reasonable notice of an indemnified claim and may participate in its defense. 20. Suspension and Termination RestorationAI may suspend or terminate access for: - Nonpayment; - Fraud or suspected unlawful activity; - Material violation of these Terms; - Security threats; - Misuse of the platform; - Conduct that creates material risk to RestorationAI, its users, or third parties; or - Legal or regulatory requirements. When reasonably practical, RestorationAI may provide notice and an opportunity to cure a material breach. Immediate suspension may occur when necessary to prevent harm, protect data, comply with law, or stop unauthorized activity. You may stop using the platform at any time and may cancel recurring subscriptions as described above. Termination does not create a right to a refund unless required by law. Sections that by their nature should survive termination will remain effective, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and governing law. 21. Electronic Communications and Acceptance You consent to receive agreements, notices, disclosures, and other communications electronically through the platform, by email, or through other contact information associated with your account. Your electronic acceptance of these Terms has the same effect as a physical signature to the extent permitted by applicable law. You are responsible for maintaining a valid email address and the ability to access and retain electronic records. Current legal documents will remain available through the platform or another reasonably accessible electronic method. 22. Changes to These Terms RestorationAI may revise these Terms to reflect changes in services, business practices, pricing structures, legal requirements, or risk. When material changes are made, RestorationAI will: - Update the Terms version; - Update the stated effective or last-updated date; and - Require applicable users to review and electronically accept the revised legal documents before continuing to use the platform. Acceptance of a revised version replaces the prior Terms prospectively. Prior acceptance records may be retained for audit, legal, and compliance purposes. 23. Governing Law These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Nothing in these Terms prevents either party from seeking relief available under applicable law. 24. General Terms Entire Agreement. These Terms, the Privacy Policy, the Legal & Compliance Notice, and any applicable written order form constitute the entire agreement concerning the services and replace prior agreements concerning the same subject matter. Order of Precedence. If an order form or product description expressly conflicts with these Terms, the order form or product description controls only with respect to the specific purchased service and only to the extent of the conflict. Service limitations displayed during purchase remain part of the applicable transaction. Severability. If any provision is found unenforceable, the remaining provisions will remain effective, and the unenforceable provision will be modified only to the extent necessary to make it enforceable. No Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later. Assignment. You may not assign these Terms without RestorationAI's written consent. RestorationAI may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or transfer of the applicable business. Force Majeure. RestorationAI is not responsible for delays or failures caused by events outside its reasonable control, including natural disasters, severe weather, labor disruptions, utility failures, internet outages, cyberattacks, governmental actions, or failures of third-party services. Headings. Section headings are for convenience and do not affect interpretation. 25. Contact Questions about these Terms or the services may be submitted through the support or contact method provided in the RestorationAI platform or website.
